Rules for the Purchase and Sale of Goods in the Online Store tikjums.com
1. Definitions
1.1. Seller – the State Enterprise “Centre of Registers” of the Republic of Lithuania, registered private legal entity UAB “Gėlės tik Jums”, legal entity code 263732720, VAT payer code LT637327219, registered office at Akmenų g. 5, Maciuičiai, LT-96159, Republic of Lithuania. 1.2. tikjums.com – an online store located at tikjums.com. 1.3. Buyer – 1) a legally competent natural person, i.e., a person who has reached the age of majority and whose legal capacity is not restricted by court order; 2) a minor between fourteen and eighteen years of age, with parental or guardian consent, except in cases where the minor is emancipated; 3) a legal entity; 4) duly authorized representatives of any of the above. 1.4. Parties – the Buyer and the Seller collectively. 1.5. Seller’s partner – a legal entity that: 1) sells goods or provides services on Tikjums.com, or is involved in fulfilling the Buyer’s order; 2) participates in joint promotions or projects with Tikjums.com, published on the Tikjums.com website or on the partner’s website, or in any media where the promotion or project is described. 1.6. Personal data – any information relating to a natural person – the data subject – whose identity is known or can be directly or indirectly determined using such data as personal identification code, or one or more physical, physiological, psychological, economic, cultural, or social characteristics of the person. 1.7. Terms – these “Terms of Purchase and Sale in the Tikjums.com Online Store.” 1.8. Account – the result of Buyer registration on Tikjums.com, which creates an account storing personal data and order history. 1.9. Privacy Policy – a document approved by the Seller setting out the main rules for collecting, storing, processing, and retaining Personal Data while using Tikjums.com.
2. General Provisions
2.1. The Buyer confirms that they have read and understood the Terms by checking the box next to the statement: “I have read and agree to the Terms of Purchase and Sale in the Tikjums.com online store.” By this confirmation, the Terms become a legally binding document for the Parties, establishing the rights and obligations of the Buyer and the Seller, conditions for purchasing and paying for goods, rules for delivery and return, liability of the Parties, and other conditions related to purchase and sale on Tikjums.com. 2.2. Only Buyers as defined in clause 1.3 have the right to purchase on Tikjums.com. By confirming the Terms and reviewing the Privacy Policy (clause 2.4), the Buyer confirms they are entitled to purchase goods on Tikjums.com. 2.3. When necessary or as provided by the laws of the Republic of Lithuania, the Seller has the right to amend, correct, or supplement the Terms. Buyers will be informed via Tikjums.com upon logging in or when making a first purchase after the revised Terms come into effect. To ensure Buyers are aware of any changes, a link to the updated Terms will be sent to the email addresses provided by Buyers to the Seller. The updated Terms take effect once published on Tikjums.com. 2.4. If the Seller is required or entitled to provide information or documents to the Buyer via email, the Buyer is solely responsible for providing a valid email address.
3. Ordering Goods; Establishment of Purchase-Sale Legal Relationship
3.1. The Buyer may order goods from Tikjums.com in one of the following ways: 3.1.1. Online, by registering on Tikjums.com (entering their registration name and password); 3.1.2. Online, without registering on Tikjums.com; 3.1.3. By phone. 3.2. When ordering goods via methods specified in clauses 3.1.1 – 3.1.2, the Buyer must provide the Personal Data required for proper order execution, as specified in the Privacy Policy. 3.3. Buyers ordering by phone or at collection points are subject to the Terms and Privacy Policy. By placing an order, they agree to the Terms. 3.4. Once the Buyer selects a product or service, creates a shopping cart, and completes all order steps (the last being payment method selection and confirmation), a purchase-sale legal relationship is established, and the purchase-sale contract is concluded. The Seller sends the Buyer a link to the current Terms along with the order confirmation to the email address provided by the Buyer.
4. Buyer Rights
4.1. The Buyer has the right to purchase goods and order services from Tikjums.com in accordance with these Terms. When ordering goods or services offered by the Seller’s partners and marked “Partner Product,” the Buyer may be subject to the delivery and service terms established by the Seller’s partners. 4.2. The Buyer has the right to cancel the order according to the Terms. 4.3. The Buyer has the right to terminate the contract according to the Terms. 4.4. The Buyer has the right to exchange or return purchased goods in accordance with the Terms. 4.5. The Buyer has other rights established by these Terms, the Privacy Policy, and the laws of the Republic of Lithuania. 5. Buyer Obligations 5.1. While using Tikjums.com, the Buyer must fulfill their obligations, comply with these Terms, the Privacy Policy, other clearly stated Tikjums.com conditions, and not violate the laws of the Republic of Lithuania. 5.2. The Buyer must pay for ordered goods or services and accept them according to the Terms. If choosing in-store pickup, the Buyer must collect the goods within the time frame specified in the Terms.
6. Seller’s Rights
6.1. The Seller may change, suspend, or terminate the operation of certain Tikjums.com functions or part thereof and change the layout of elements on Tikjums.com. 6.2. The Seller may suspend or terminate Tikjums.com activity. In such a case, all accepted and confirmed orders are completed, and new orders are not accepted. 6.3. The Seller may change the scope or method of services provided on Tikjums.com, suspend or terminate service provision, or charge for services. 6.4. If the Buyer attempts to compromise the stability or security of Tikjums.com or fails to fulfill their obligations, the Seller may immediately limit or suspend the Buyer’s access or, in exceptional cases, delete the Buyer’s Account. 6.5. The Seller may cancel an order without prior notice if the Buyer fails to pay within 3 business days when using the payment methods specified in Sections 8.2.1 or 8.2.2. 6.6. When the Buyer selects the payment method in Section 8.2.3, the Seller may contact the Buyer to clarify order information. The delivery period starts from the day of contact. The Seller may cancel the order if: i) the Buyer cannot be reached within 2 business days; ii) the Buyer fails to provide requested information; iii) the Buyer does not consent to personal data verification. 6.7. The Seller has other rights as established by these Rules, the Privacy Policy, other Tikjums.com documents, and the laws of Lithuania.
7. Seller’s Obligations
7.1. The Seller undertakes, under the conditions established in these Rules and other Tikjums.com documents, to provide the Buyer with access to the services offered on Tikjums.com. 7.2. The Seller undertakes to provide the Buyer with clear and comprehensible information as specified in Article 6.2287 of the Civil Code of the Republic of Lithuania. 7.3. The Seller undertakes to respect the Buyer’s privacy. The Buyer’s Personal Data shall be processed only in accordance with these Rules, the Privacy Policy, and the laws of the Republic of Lithuania. 7.4. Before placing an order, the Seller shall inform the Buyer of any suspension or termination of essential Tikjums.com functions, as well as any changes referred to in Clauses 6.2 – 6.3. Providing this information is considered proper notification. 7.5. Under the conditions set out in these Rules, the Seller undertakes to deliver the Buyer’s ordered goods and accept goods returned by the Buyer. 7.6. If the Seller is unable to deliver the ordered product due to significant circumstances, the Seller shall offer the Buyer an analogous or as similar as possible product. If the Buyer refuses to accept the proposed alternative, the Seller shall refund the Buyer within 14 (fourteen) business days if prepayment was made and, in all cases, cancel the order. 7.7. If the Seller disagrees with the Buyer’s claims, the Seller shall provide a detailed written response no later than 10 (ten) calendar days from the date of receiving the Buyer’s request, unless otherwise stipulated by Lithuanian or European Union law. 7.8. The Seller undertakes to perform other obligations imposed on the Seller by these Rules, the Privacy Policy, and applicable laws of the Republic of Lithuania.
8. Prices of Goods, Payment Terms
8.1. The Buyer may pay for ordered goods using one of the following methods: 8.1.1. via electronic banking; 8.1.2. via bank transfer. 8.2. When the Seller receives payment for goods or receives confirmation of purchase financing (if the Buyer selected the method provided in Clause 8.1.3), the order is confirmed and the delivery term begins to run. 8.3. By confirming these Rules, the Buyer agrees that purchase documents – VAT invoices, which also serve as warranty certificates – will be provided electronically to the email address specified in the Buyer’s registration form no later than the moment of delivery. VAT invoices indicate the selected goods, their quantity, total price including all taxes, and other data required by applicable accounting regulations. 8.4. The price of goods, once the order is confirmed by the Seller, cannot change, except in cases of a technical error in information systems or other objective reasons beyond the Seller’s control. If the Buyer does not agree to purchase the product at the new price, they may cancel the order within 2 (two) business days. In such cases, all amounts paid by the Buyer will be refunded.
9. Delivery of Goods
9.1. When ordering goods, the Buyer may choose one of the delivery methods listed in Clauses 9.2 – 9.5. Conditions and fees are provided on Tikjums.com. 9.2. If the Buyer chooses home delivery: 9.2.1. The Buyer shall provide the exact delivery address; 9.2.2. The Buyer shall personally accept the goods and present a valid identity document (ID card, passport, or new-style driver’s license). If the Buyer is unable to accept the goods and they are delivered to the indicated address, the Buyer cannot file claims regarding delivery to an incorrect person; 9.2.3. Goods are delivered by the Seller or authorized representative; 9.2.4. Delivery fees do not include carrying the goods into the premises – this service may be ordered separately. 9.3. The Buyer may collect goods free of charge from the Gėlės tik Jums store. If this method is selected: 9.3.1. Goods must be collected no later than 3 (three) business days after notification by email; 9.3.2. Only the person who placed the order or a person specified in the order may collect the goods, presenting a valid identity document. 9.4. Goods are provided according to the estimated delivery time in the product descriptions. These are preliminary and do not apply if goods are out of stock. In such cases, the Seller shall notify the Buyer. Exceptional delays due to unforeseen circumstances beyond the Seller’s control may occur. The Seller shall promptly coordinate new delivery terms with the Buyer. If delivery is not made within the agreed extended period, the Buyer may exercise the right under Clause 11.1 to cancel the purchase. 9.5. The Seller is not liable for delays caused by third parties or circumstances attributable to the Buyer. 9.6. Upon delivery, the Buyer shall inspect the goods together with the Seller or their authorized representative and sign the delivery-acceptance document. If the goods packaging is visibly damaged, the Buyer shall note this and create a damage/discrepancy report. Failure to do so releases the Seller from liability for damages not caused by manufacturing defects. 9.7. Risk of accidental loss or damage transfers to the Buyer upon delivery. 9.8. If the Buyer fails to collect the goods or delivery fails, the Seller shall arrange a new delivery time. If collection/delivery still fails, the goods are returned to the Seller, the order is canceled, and amounts paid (minus fees) are refunded. 9.9. If the goods were unpaid, the returned goods are refunded to the Seller and the order is canceled.
10. Quality and Shelf Life
10.1. Product characteristics are specified in the product description. 10.2. Goods are of appropriate quality and correspond to the description. Goods meet the purchase contract if: 10.2.1. They match the Seller’s description and promotional examples; 10.2.2. They are fit for the usual purpose; 10.2.3. They meet usual quality standards expected by the Buyer. 10.3. The Seller is not responsible if color, size, or shape may differ due to display or technical reasons. 10.4. The Seller provides a quality guarantee for certain products as described in product listings or invoices/warranty certificates. 10.5. The guarantee does not restrict consumer rights under applicable law. 10.6. Warranty service is organized through centers in Lithuania or abroad, depending on the location of the service center. 10.7. Data stored on media are not covered by the warranty. 10.8. For products with legally established usability periods, the Seller shall ensure the Buyer can use the product until the end of such periods.
11. Right to Cancel the Purchase Contracts, Return, and Exchange Rules
11.1. Right to Cancel the Purchase Contract 11.1.1. The Buyer has the right to cancel the purchase contract within 14 (fourteen) calendar days without providing a reason, except for contracts specified in Article 6.22810(2) of the Civil Code of the Republic of Lithuania. 11.1.2. Notification of cancellation must be sent using one of the following methods: By filling out the standard cancellation form [https://www.e-tar.lt/portal/lt/legalAct/dad7f330d05511e3a8ded1a0f5aff0a9], or By submitting a clear statement to [email protected]. The Seller shall immediately confirm receipt. 11.1.3. The 14-day period begins: a) From the day the Buyer or the person indicated by the Buyer receives the goods; b) In cases of multiple goods delivered separately, from the day the last item is received; c) In cases of partial delivery, from the day the last part is received; d) For regular deliveries, from the day the first item is received. 11.1.4. If the purchase contract is canceled before delivery, the order is considered rejected and the Buyer is notified accordingly. 11.1.5. If the purchase contract is canceled after delivery, Clause 11.6 applies. 11.2. Additional Refund Guarantee 11.2.1. The Buyer may return goods between 14 and 30 days after delivery, provided they are in their original, undamaged condition. 11.2.2. Notification of intent to return must be sent within 30 calendar days to [email protected]. 11.2.3. If the notification is sent within 14 days, Clause 11.1 applies. 11.2.4. If notification is sent after 14 days but before 30 days, the Buyer bears the costs and risks of returning the goods. The goods must reach Tikjums.com within 30 calendar days from the day of receipt. 11.2.5. Exceptions: gift vouchers, personalized products, perishable goods, or goods unfit for return due to hygiene reasons. 11.2.6. Returns are carried out in accordance with Clause 11.6. 11.3. Exchange and Return of Proper-Quality Goods 11.3.1. The Buyer may exchange goods within 14 calendar days for a different size, shape, color, model, or completeness. Price differences shall be settled accordingly. 11.3.2. Exchanges follow the Retail Trade Rules approved by Lithuanian Government Resolution No. 738, 22 July 2014. 11.3.3. If the Seller does not have a replacement, the purchase price shall be refunded within 14 calendar days from the notification or return. 11.3.4. Refunds are transferred to the Buyer’s bank account unless otherwise agreed. 11.3.5. Returns follow Clause 11.6. 11.4. Exchange and Return of Defective Goods 11.4.1. The Buyer has the right to claim for defective goods immediately after discovering the defect. 11.4.2. Claims must be submitted in writing to [email protected]. 11.4.3. The Buyer may demand repair, replacement, or refund, according to applicable law. 11.4.4. If the Buyer opts for repair or replacement, the Seller must fulfill the request within a reasonable time, not exceeding 14 calendar days. 11.4.5. If repair or replacement is impossible or disproportionate, the Buyer may request a price reduction or contract cancellation. 11.4.6. The Seller bears all costs associated with repair, replacement, or return of defective goods. 11.4.7. Defective goods must be returned in packaging, if possible, and with all accessories and documents. 11.4.8. If the defect is not obvious, the Seller may require inspection by an authorized specialist. 11.4.9. The Buyer may also claim compensation for direct damage caused by the defect. 11.4.10. Warranty periods apply in accordance with Lithuanian law. 11.4.11. The Buyer is not entitled to claims for normal wear and tear. 11.4.12. Complaints about defective goods do not affect the Buyer’s statutory rights. 11.4.13. The Seller must respond to the complaint within 10 calendar days. 11.4.14. If the Buyer returns defective goods, refund or replacement occurs immediately after receiving and verifying the defect. 11.5. Exchange and Return of Wrongly Delivered Products 11.5.1. If goods delivered differ from those ordered, the Buyer may demand replacement with the correct product. 11.5.2. The Seller shall bear all costs and ensure delivery of the correct goods within 14 calendar days. 11.6. Procedure for Returns and Refunds 11.6.1. Returns must be properly packaged to avoid damage. 11.6.2. Returned goods must include all documents and accessories. 11.6.3. Refunds are processed using the same method as the original payment, unless agreed otherwise. 11.6.4. Refunds are issued within 14 calendar days of receipt of returned goods. 11.6.5. The Buyer bears the risk of loss until the goods reach Tikjums.com if the return is due to personal choice (non-defective). 11.6.6. For defective or wrongly delivered goods, the Seller bears all return costs. 11.6.7. Returns of partner products follow the same rules, but may involve the partner. 11.6.8. The Buyer must provide proof of shipment in case of disputes. 11.6.9. Partial returns are allowed, with proportional refund of paid amounts. 11.6.10. Refunds include original delivery fees if the entire order is returned. 11.6.11. Refunds do not include fees for expedited or optional services not requested by the Seller. 11.6.12. The Seller may deduct amounts for goods damaged by improper handling. 11.6.13. Refunds are final, unless new defects are discovered later. 11.6.14. Return procedures are further detailed on Tikjums.com and communicated to the Buyer.
12. Liability
12.1. The Buyer is responsible for actions performed while using Tikjums.com. 12.2. A registered Buyer is responsible for keeping their login credentials secure and for not sharing them with third parties. If a third party uses the services of Tikjums.com by logging in with the Buyer’s credentials, the Seller considers this person to be the Buyer. 12.3. The Seller is released from any liability in cases where losses occur because the Buyer, disregarding the Seller’s recommendations and their obligations, has not familiarized themselves with these Terms and Conditions or the Privacy Policy, even though the opportunity to do so was provided. 12.4. If Tikjums.com provides links to other third-party websites, the Seller does not guarantee that the information accessible through these links is accurate, complete, or correct. Third parties are responsible for the content, accuracy, completeness, and correctness of the information they provide. The Seller is not obliged to verify external information provided or stored, nor to detect unlawful activities. 12.5. The Seller is not responsible for the proper fulfillment of mutual obligations between the Buyer and the Seller’s Partners whose goods or services the Buyer orders using Tikjums.com.
13. Exchange of Information
13.1. In accordance with these Terms and Conditions and the Privacy Policy, the Seller sends all notifications to the Buyer via the email address or phone number provided during registration or when placing orders on Tikjums.com. 13.2. The Buyer sends all notifications and inquiries to the Seller using the contact methods specified in the “Contacts” section on Tikjums.com.
14. Final Provisions
14.1. These Terms and Conditions are prepared in accordance with the laws of the Republic of Lithuania. 14.2. Relations arising under these Terms and Conditions are governed by the law of the Republic of Lithuania. 14.3. Any disputes arising from the execution of these Terms and Conditions shall be resolved through negotiations. If an agreement cannot be reached within 20 (twenty) calendar days, disputes shall be resolved according to the procedures established by the laws of the Republic of Lithuania. 14.4. Prices in the Tikjums.com online store and the physical store may differ.
